These Terms of Use govern your use of SpectraNote, including our website, desktop application, mobile application, software, and related services. The Service is provided by SpectraNote. By creating an account, purchasing a subscription, downloading the application, or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.
1–5. The Service, eligibility, accounts, subscriptions & usage limits
SpectraNote is an AI-powered music analysis and transcription application that may process audio, video, MIDI, and other media to generate transcriptions, MIDI, visualizations, stems, BPM, tempo, key detection, and related information. You must be legally capable of entering a binding agreement and, if acting for an organization, have authority to bind it. You must provide accurate account information, protect your credentials, avoid sharing accounts, notify us of compromise, and accept responsibility for account activity. Paid features may require subscriptions, which automatically renew unless cancelled. We may change plans or pricing with notice where required. Free and paid access may have usage limits; you may not bypass limits, manipulate requests, circumvent authentication, exploit vulnerabilities, or share accounts to evade subscription requirements.
6–9. User Content, music rights & AI output
You retain ownership of User Content. By uploading it, you grant SpectraNote a limited, non-exclusive, worldwide license to host, transmit, reproduce, modify as technically necessary, process, analyze, and otherwise use it solely to provide the Service. This includes generating transcriptions, MIDI, stems, BPM, tempo, key, visualizations, and other outputs. SpectraNote does not use User Content to train its AI models. You are solely responsible for ensuring you have the rights and permissions to upload and process music. Using SpectraNote does not grant rights to copyrighted music. AI-generated or processed output may contain errors; you are responsible for review before relying on it. SpectraNote does not claim ownership of outputs generated from your User Content, but does not guarantee copyrightability or exclusive ownership.
10–18. Prohibited use, storage & service availability
You may not violate law, infringe intellectual property, upload unauthorized content, gain unauthorized access, interfere with the Service, introduce malicious code, circumvent limits or security, reverse engineer proprietary systems, extract model weights, resell access, excessively consume resources, or engage in fraudulent activity. SpectraNote may store sessions, projects, and generated files locally on your device; you are responsible for backups and we are not responsible for local data loss. Uploaded processing files may be temporarily stored on cloud infrastructure and are automatically deleted within 24 hours. The Service, source code, interfaces, designs, branding, technology, models, and documentation are owned by or licensed to SpectraNote. We may modify, suspend, terminate, or discontinue features or accounts where permitted by these Terms or law, and do not guarantee uninterrupted, error-free, secure, or always-available service.
19–25. Disclaimers, liability & governing law
To the maximum extent permitted by law, SpectraNote is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability. SpectraNote disclaims liability for indirect, incidental, special, consequential, exemplary, or punitive damages. Our total liability will not exceed the greater of the amount you paid in the twelve months before the claim or $100, subject to applicable law. You agree to indemnify SpectraNote for claims arising from your violation of these Terms, User Content, unlawful use, or misuse. These Terms are governed by the laws of the State of Georgia, and disputes will be resolved in Georgia courts. If any provision is unenforceable, the remaining provisions remain in effect. These Terms, the Privacy Policy, and incorporated terms form the entire agreement.
